Statement re: Plan Of Arrangement

Stressgen Biotechnologies Corporation (with its subsidiaries other than discontinued operations, “New Stressgen”), formerly 0747128 B.C. Ltd. was incorporated under the Business Corporations Act (British Columbia) on January 27, 2006.

On March 23, 2006, Stressgen Biotechnologies Corporation (“Old Stressgen”) was reorganized under a Plan of Arrangement (the “Plan”) pursuant to the Yukon Business Corporations Act.  The Plan was approved by the shareholders of Old Stressgen and by the Yukon Supreme Count and was implemented in March 2006.  Under the Plan, Old Stressgen transferred all of its business assets, ownership interest in subsidiary companies, liabilities and operations to New Stressgen.
